Zync Music Sues Round Hill Over Failed Joint Venture, Claims Millions in Unpaid Fees and Hostile Treatment

Zync Music has filed a lawsuit against Round Hill Music Royalty Fund II over alleged contractual violations and millions in unpaid payments from their 2017 joint venture agreement.

The lawsuit stems from a complex deal that included an asset purchase and joint tenancy agreement, where Zync's creative team would work alongside Round Hill's sync staff and participate in a publishing joint venture for emerging artists.

Key points of contention include:

  • Alleged "bullying and mistreatment" from Round Hill's senior leadership
  • Failure to provide access to proprietary software
  • Disorganized records preventing proper rights management
  • Disputes over expense-sharing arrangements
  • Issues with the final valuation process

The relationship deteriorated following the departure of Zync founder Sanne Hagelsten in 2019 and ultimately ended when Round Hill terminated Marisa Baldi's position in April 2023.

Both parties hired separate appraisers to determine the purchase price for Zync's interests, but failed to reach an agreement. Round Hill seeks significant deductions for Zync's alleged failure to meet sync-revenue benchmarks.

Zync is pursuing eight counts including breach of contract and unjust enrichment, seeking millions in damages.

Round Hill has denied all allegations, stating this is merely "a commercial dispute over the valuation of their joint venture partnership" and that Zync's claims are "specious and salacious allegations" being used to compensate for the failing merits of their case.

The case number is 1:24-cv-03664.
